Terms of Service

These Terms of Service govern your access to and use of the GrantFounders platform, including all APIs, web interfaces, analytical tools, and proposal generation services. Please read them carefully before using the Service.

1. Acceptance of Terms

By accessing or using the GrantFounders platform, including any associated APIs, web interfaces, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization. If you do not agree to these Terms, you may not access or use the Service. GrantFounders reserves the right to update these Terms at any time. Continued use of the Service following notice of changes constitutes acceptance of the revised Terms.

2. Eligibility and Account Registration

The Service is intended for use by organizations and professionals engaged in grant research, proposal development, and federal funding operations. You must be at least 18 years of age and have legal authority to enter into binding agreements to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Organization Accounts and User Responsibility

GrantFounders is structured around organizational accounts. When you create or join an organization account, you acknowledge that project data, proposal content, and workspace activity are associated with that organization. Administrators of an organization account are responsible for managing user access and ensuring that all users within their organization comply with these Terms. GrantFounders is not responsible for disputes between users within the same organization or for actions taken by authorized users on behalf of an organization.

4. Access Keys and Account Security

The Service uses access keys to authenticate API requests and authorize workspace operations. You are solely responsible for the security of your access keys. You must not share access keys with unauthorized parties, embed them in publicly accessible code, or use them in ways that exceed your authorized access scope. If you believe an access key has been compromised, you must revoke it immediately through your account settings and generate a replacement. GrantFounders is not liable for unauthorized access resulting from your failure to secure your credentials.

5. Permitted Use

Subject to these Terms and payment of applicable fees, GrantFounders grants you a limited, non-exclusive, non-transferable right to access and use the Service for your organization's internal grant research, opportunity analysis, proposal development, and funding pipeline management activities. You may use the Service to generate, edit, and export proposal content for submission to federal, state, and private funding agencies. You may integrate the Service with your internal systems via the documented API within the scope of your subscription tier.

6. Prohibited Use

You may not use the Service to: • Violate any applicable law, regulation, or third-party right • Reverse engineer, decompile, or attempt to extract source code from the Service • Resell, sublicense, or redistribute access to the Service without written authorization • Submit false or misleading information to funding agencies using outputs generated by the Service • Attempt to gain unauthorized access to other accounts, systems, or networks • Use the Service to train competing AI models or to build substantially similar products • Transmit malicious code, automated scraping tools, or excessive API requests that degrade service performance • Use the Service in any manner that could damage the reputation or operations of GrantFounders

7. Fees, Billing, Renewals, and Refunds

Access to the Service requires a paid subscription. Fees are charged in advance on a monthly or annual basis depending on your selected billing cycle. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. GrantFounders reserves the right to modify pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Payment is processed by Stripe. Your payment information is transmitted directly to Stripe and is not stored on GrantFounders servers.

8. Intellectual Property

GrantFounders retains all rights, title, and interest in and to the Service, including its underlying technology, models, interfaces, and documentation. These Terms do not grant you any ownership interest in the Service. You retain ownership of the data, content, and materials you submit to the Service ("Customer Content"). You grant GrantFounders a limited license to process and store Customer Content solely to the extent necessary to provide the Service. GrantFounders does not claim ownership of proposal content generated on your behalf. Proposal outputs generated by the Service are provided for your use and editing. You are responsible for reviewing, verifying, and taking ownership of any content submitted to funding agencies.

9. Customer Data

GrantFounders processes Customer Content — including project descriptions, organizational profiles, proposal drafts, and analytical inputs — solely to deliver the Service. We do not sell Customer Content to third parties. Customer Content may be processed by third-party AI infrastructure providers under confidentiality obligations. GrantFounders maintains logical separation of organizational data within the platform. You are responsible for ensuring that any data you submit to the Service complies with applicable laws and does not infringe third-party rights.

10. AI-Generated and Analytical Outputs Disclaimer

The Service uses artificial intelligence to assist with opportunity identification, fit analysis, and proposal drafting. All outputs — including fit scores, eligibility assessments, compliance analyses, and proposal text — are analytical tools intended to support your decision-making, not to replace it. GrantFounders does not guarantee the accuracy, completeness, or fitness of any AI-generated output for any particular purpose. You are solely responsible for reviewing all outputs before use, including before submission to any funding agency. The Service does not guarantee that use of the platform will result in a grant award or funding outcome of any kind.

11. Service Availability

GrantFounders provides the Service on a commercially reasonable basis and does not guarantee uninterrupted or error-free operation. Scheduled maintenance, infrastructure updates, and circumstances beyond our control may result in temporary unavailability. We will make reasonable efforts to notify users of planned downtime in advance. GrantFounders is not liable for losses arising from service interruptions outside our reasonable control.

12. Suspension and Termination

GrantFounders may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay applicable fees, or engage in conduct that poses a risk to the Service or other users. We will provide reasonable notice where practicable, except in cases of serious violations. Upon termination, your right to access the Service ceases immediately. You may request an export of your Customer Content within 30 days of termination, after which GrantFounders may delete your data in accordance with its data retention practices.

13. Limitation of Liability

To the maximum extent permitted by applicable law, GrantFounders and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. GrantFounders' total liability for any claim arising under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless GrantFounders and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) Customer Content you submit to the Service; (c) your violation of any applicable law or third-party right; or (d) any grant submission or funding application made using outputs from the Service.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
